PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE PROCEEDING. IF YOU DO NOT ACCEPT THESE TERMS OF SERVICE, YOU MUST NOT USE THE ASSURED COMPLIANCE SERVICE.
These terms (“Terms”) govern the use of the Assured Compliance service (the “Service”) provided by Coadjute Limited, referred to as “we,” “us,” or “our.” By using our Service, you agree to these Terms.
1. What is Assured Compliance?
Assured Compliance is a service designed to facilitate Anti-Money Laundering (“AML”) checks related to property transactions. The service manages the necessary checks on your identity using your personal information and the property transaction, providing results to your chosen property transaction partners, including estate agents and conveyancers. These checks are required under HMRC regulations.
2. Accepting or Rejecting these Terms
By using the Service and making payment, you agree to these Terms. If you do not accept these Terms, you must not proceed with using the Service.
3. Our Responsibilities
We will:
- Conduct AML checks as required by law.
- Manage the process of collecting and sharing the necessary information with the relevant estate agent or conveyancer.
- Coordinate with third-party service providers to complete the AML checks.
As part of the process, we are required to undertake a variety of verification procedures on you and the property transaction. Your cooperation is necessary to complete these checks. The results of the checks will be shared with the estate agent and conveyancer (if applicable).
4. Your Responsibilities
You are required to provide accurate and timely information when requested. Delays in submitting the required information may result in delays in the completion of the AML check and its communication to the estate agent. You warrant that your use of the Services does not contravene any applicable law and any information provided by you is true and accurate and you further warrant that you have all necessary licences, consents and permissions to provide any information, materials or data to us.
5. Personal Data and Privacy
Your personal data will be processed strictly for the purpose of conducting the AML checks. We will only share your data with the third-party service providers and estate agents involved in your property transaction, as required by law. For more details on how we protect and handle your data, please refer to our Privacy Policy.
Additionally, your AML report will be shared with your conveyancer when invited by your estate agent to the platform, and only for the purpose of supporting your property transaction. See further information below in Clause 6.
6. Sharing with your Conveyancer
By using the Assured Compliance AML service, you consent to Coadjute sharing the completed AML report with your conveyancer, should they be invited onto the platform by your estate agent. The sharing of this information is solely for the purpose of facilitating your property transaction and ensuring compliance with applicable AML regulations. If you do not wish for your AML report to be shared with your conveyancer, you may notify us in writing before the report is finalised.
Where an estate agent invites your conveyancer to the platform to access your AML report, you acknowledge and agree that the estate agent is responsible for providing accurate and up-to-date details of your conveyancer. Coadjute shall not be liable for any errors arising from incorrect conveyancer information provided by the estate agent or yourself.
If your AML report is shared with your conveyancer via the Coadjute platform, Coadjute is not responsible or liable for how your conveyancer uses or relies upon the report. Any concerns regarding the use of the report by your conveyancer should be addressed directly with your conveyancer.
7. Legal Notifications to Third Parties
In certain circumstances, we may be legally required to notify your estate agent of the results or details of the AML check. By using this Service, you consent to such legal disclosures when required by law.
8. No Guarantee of Successful Outcome
While we will use reasonable care and skill to perform the AML checks, we do not guarantee a successful outcome. The results of the checks may impact your property transaction, and we bear no responsibility for any such outcomes
9. Third-Party Services
The Assured Compliance Service may involve the use of third-party services (“Third-Party Services”) to facilitate various aspects of the AML checks. These Third-Party Services are not owned or controlled by us, and we assume no responsibility for their content, privacy policies, results, or practices. We do not review, approve, monitor, endorse, or make any representations regarding these services or the accuracy or completeness of any results obtained from such services.
The inclusion of any Third-Party Services as part of the Assured Compliance Service does not imply affiliation, sponsorship, endorsement, or approval by us. We shall not be responsible for any information or results obtained from such Third-Party Services, and your use of such services is at your own risk. You acknowledge that Third-Party Services may have terms and privacy policies different from ours, and we expressly disclaim any liability arising from these services.
We reserve the right to suspend or discontinue the use of any Third-Party Services, in whole or in part, at our discretion and without liability or prior notice, if we believe such suspension is necessary to prevent unauthorised use or to comply with applicable laws or regulations.
10. Limitation of Liability
10.1 Neither you nor us excludes or limits its liability to the other for fraud or for death or personal injury caused by its negligence or that of its personnel, or any other liability which cannot lawfully be excluded or limited.
10.2 Subject to Clause 9.1 our total aggregate liability under these Terms and for all other claims, losses, costs or damages whether for negligence, breach of contract or however otherwise arising shall not exceed the total aggregate fees paid by you or pursuant these Terms.
10.3 We are not liable for any loss (including, for the avoidance of doubt, any indirect or consequential loss, howsoever caused) or damage arising from unsuccessful AML checks or delays in the process. We shall not be held responsible for any actions taken by your estate agent or other third parties based on the results of the AML check.
11. Changes to these Terms
We may revise these Terms from time to time. Any changes will be notified to you in writing. If you continue to use the Service after being notified of changes, you are deemed to have accepted the updated Terms.
12. Governing Law and Jurisdiction
These Terms and any disputes arising in connection with them shall be governed by the laws of England and Wales and the courts of England shall have exclusive jurisdiction.
By proceeding with the Service and submitting payment, you confirm that you have read, understood, and agreed to these Terms of Service.
